Terms of Use

These Terms of Use ("Terms") govern your relationship with the LowFlow Journal software (the "Software", the "Service"), published by us ("we", "LowFlow").

Please read these Terms carefully before using the Software. By accessing or using the Software, you agree to be bound by these Terms and accept all of their legal consequences. If you do not agree to these Terms, in whole or in part, please do not use the Software.

Eligibility

By using the Software, you represent and warrant that:

  • You provide accurate and up-to-date information at the time of purchase;
  • You have the legal capacity to enter into this agreement;
  • You are not a minor in your jurisdiction;
  • Your use of the Software complies with all applicable laws as well as these Terms.

Electronic Communications

By purchasing the Software or communicating with us by email, you consent to receive our communications in electronic form (purchase confirmations, notices, receipts, information related to your license). You acknowledge that these electronic communications satisfy any legal requirement that a communication be made in writing.

Risk Disclosure

Trading futures, stocks, currencies, or any other financial instrument involves significant risk and may not be suitable for all investors. There is a possibility of losing all, or more than, your initial investment. Only capital you can afford to lose should be used for trading. Past performance does not guarantee future results.

Nature of the Software

LowFlow is a set of tracking and analysis tools designed to help traders review their own past decisions. We do not provide any recommendation regarding the purchase or sale of securities or financial instruments, and we offer no trading or investment advice. The Software, including its optional AI Assistant, is provided "as is", without warranty of any kind. LowFlow is not a broker and is not registered with any securities regulatory body. Any information presented in the Software should not be considered investment, tax, accounting, or legal advice. We strongly encourage you to consult appropriate professionals before making any financial decision. "The trader decides."

License

Purchasing a LowFlow license grants you a personal, non-exclusive, and non-transferable right to use the Software, locked to a limited number of devices depending on the plan purchased (identified by a locally generated machine identifier, the "HWID").

This license is perpetual: once activated, it grants you a right to use the Software on the locked device for an unlimited duration. The Software does, however, require periodic revalidation of the license with our servers to continue functioning (see the "Your Data and Your Device" section below).

Software updates (new features, bug fixes) are included for the first twelve (12) months following purchase. Thereafter, they may be offered through an optional annual subscription. Not renewing this subscription does not affect your right to use the version of the Software already installed and activated.

Your Data and Your Device

Your trading data stays on your computer at all times — it is never transmitted to our servers, regardless of your internet connection.

Using the Software requires an active Internet connection for periodic validation of your license with our servers. Without this validation, access to the Software is suspended until it is completed — your data remains intact on your device for the entire duration of this suspension.

Free Trial

We may, at our sole discretion, offer a limited-time free trial period (currently 7 days) before purchase. We reserve the right to modify or cancel this trial offer at any time and without notice.

Refunds

You have fourteen (14) days from purchase to request a refund, whichever payment option you chose (one-time payment, 12-month plan, or 24-month plan). After this period, the purchase is considered final and non-refundable, except in the following cases:

  • Your license key was not delivered within 48 hours of purchase;
  • A fault on our part could not be resolved after contacting our support;
  • Applicable law in your jurisdiction grants you a right of withdrawal (for example, a 14-day withdrawal period in the European Union if the Software has not been activated, or a right provided under Quebec's Consumer Protection Act).

The 12- and 24-month plans are an installment payment of the license price. In the event of a payment default, access to the Software is suspended until payment is brought up to date; amounts already paid remain acquired and are not refundable beyond the fourteen (14) day period above. Your data remains intact on your device during any suspension.

Intellectual Property

The Software and all of its content, including without limitation code, text, images and graphics, are the property of LowFlow Journal and are protected by copyright, trademarks, and other applicable intellectual property rights. These Terms do not grant you any license to the trademarks of LowFlow or its affiliates.

Prohibited Uses

It is strictly prohibited to:

  • Circumvent, disable, or attempt to circumvent the Software's licensing system;
  • Decompile, disassemble, or reverse engineer the Software, except to the extent expressly permitted by applicable law notwithstanding this prohibition;
  • Distribute, resell, sublicense, or share your license key or a modified copy of the Software with a third party;
  • Use the Software for unlawful purposes or to develop a competing product from its code.

Any violation of this section constitutes an infringement of our intellectual property rights and may result in the immediate revocation of your license, without refund, as well as potential legal action.

Links to Other Sites

The Software or this site may contain links to third-party sites or services that are neither owned nor controlled by LowFlow. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party site or service. We strongly recommend that you read the terms and privacy policies of any third-party site you visit.

Termination

We may revoke your license immediately, without notice, if you breach these Terms, particularly the "Prohibited Uses" section. All provisions of these Terms which by their nature should survive termination (limitation of liability, intellectual property, indemnification) shall survive.

Limitation of Liability

To the fullest extent permitted by law, LowFlow, its officers, employees, and affiliates shall not be liable for any loss or damage, direct or indirect, incidental, special, or consequential — including without limitation financial losses resulting from your trading decisions — arising from your access to or use of the Software.

Indemnification

You agree to defend, indemnify, and hold LowFlow, its officers, employees, and affiliates harmless from any claim, loss, liability, cost, or expense (including reasonable legal fees) arising from your use of the Software, your breach of these Terms, or your violation of any third party's rights.

No Warranty

The Software is provided "as is" and "as available", without warranty of any kind, express or implied. We do not warrant that the Software will function without interruption, will be error-free, or will meet your particular requirements.

Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Software shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal, Province of Quebec.

Miscellaneous

  • Assignment — you may not assign your rights or obligations without our written consent. We may assign ours freely.
  • Severability — if any provision of these Terms is found to be invalid or unenforceable, it shall be severed without affecting the validity of the remaining provisions.
  • Waiver — failure to exercise any right under these Terms does not constitute a waiver of that right.
  • Force Majeure — we are not liable for delays or failures caused by events beyond our reasonable control.

Changes

We reserve the right, at our sole discretion, to modify these Terms at any time. In the event of a significant change, we will make reasonable efforts to give you at least 30 days' notice before the new terms take effect.
